Agreement to Terms
By accessing or using the OnSequoia website at onsequoia.com and any associated services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform. These Terms constitute a legal agreement between you and OnSequoia, Inc., a Delaware C-Corporation ("OnSequoia," "we," "us," or "our").
Description of Service
OnSequoia is a platform designed to connect nonprofit organizations with donors through initiative-level giving. The Platform includes tools that help nonprofits create and manage initiative profiles, apply for grants, and publish funding opportunities to a donor-facing marketplace. The Platform also provides donors with the ability to discover, evaluate, and fund specific initiatives. Features and functionality may change as the Platform evolves, and not all features described on the website may be available at all times.
Eligibility
You must be at least 18 years of age to use the Platform. If you are using the Platform on behalf of a nonprofit organization or other entity, you represent that you have the authority to bind that entity to these Terms. By creating an account or signing up for the waitlist, you confirm that the information you provide is accurate and that you meet these eligibility requirements.
Accounts and Registration
Certain features of the Platform may require you to create an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@onsequoia.com if you believe your account has been compromised. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
Nonprofit Users
If you register as a nonprofit organization on the Platform, you represent that your organization is a validly organized nonprofit entity in good standing and that you have the authority to act on its behalf. You agree that the information you provide in your initiative profiles and organizational details is truthful and not misleading. OnSequoia reserves the right to verify nonprofit status and to remove organizations or initiatives that do not meet our quality or credibility standards.
Donor Users
If you use the Platform as a donor, you acknowledge that OnSequoia provides a platform for discovering and facilitating contributions to nonprofit initiatives, but that OnSequoia itself is not a nonprofit organization and is not the recipient of your donations. Donations made through the Platform are directed to the nonprofit organizations operating the funded initiatives. OnSequoia does not provide tax, legal, or financial advice, and you should consult your own advisors regarding the tax implications of any charitable contributions.
Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform to submit false, misleading, or fraudulent information, to impersonate any person or organization, to interfere with or disrupt the Platform's functionality, to attempt to gain unauthorized access to any part of the Platform, or to use the Platform for any purpose that violates applicable law.
Intellectual Property
The Platform, including its design, text, graphics, logos, and software, is owned by OnSequoia and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without our prior written consent. Content that you submit to the Platform, such as initiative profiles and organizational information, remains your property, but you grant OnSequoia a non-exclusive license to display, distribute, and promote that content in connection with the operation of the Platform.
Fees and Payments
Certain features of the Platform may require payment of fees, including subscription fees for premium tools and transaction fees on donations facilitated through the marketplace. Applicable fees will be clearly disclosed before you incur them. We reserve the right to modify our fee structure with reasonable notice. Payment processing is handled by third-party providers, and your use of those services is subject to their terms.
Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. OnSequoia does not warrant that the Platform will be uninterrupted, error-free, or completely secure. We do not guarantee that any nonprofit listed on the Platform will use donated funds as described, nor do we guarantee the success of any initiative. You use the Platform at your own risk.
Limitation of Liability
To the fullest extent permitted by law, OnSequoia and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the Platform. Our total liability for any claim arising from these Terms or the Platform shall not exceed the amount you have paid to OnSequoia, if any, in the twelve months preceding the claim.
Termination
We may suspend or terminate your access to the Platform at any time if we reasonably believe you have violated these Terms. You may stop using the Platform at any time. Upon termination, the provisions of these Terms that by their nature should survive will continue to apply, including the sections on intellectual property, limitation of liability, and governing law.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or the Platform shall be resolved in the state or federal courts located in Delaware.
Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will update the date at the top of this page and, where appropriate, notify you through the Platform or by email. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
